Terms of Service

1. Agreement Overview
By engaging with Injection Marketer ("Agency"), you ("Client") agree to the following Terms of Service. These terms govern the provision of social media marketing services, including but not limited to content creation, account management, advertising campaigns, and analytics reporting.
2. Services Provided
The Agency agrees to provide the following services:
-Paid advertising campaigns (e.g., Facebook, Instagram)
-Appointment Setting
Specific services and deliverables will be outlined in the individual Service Agreement between the Agency and Client.
3. Client Responsibilities
The Client agrees to:
-Provide timely access to necessary accounts and platforms
-Supply all required materials, including logos, branding guidelines, and content
-Respond to Agency communications within a reasonable timeframe
-Ensure that all content and materials provided do not infringe upon third-party rights
4. Payment Terms
Fees: The Client agrees to pay the fees specified in the Service Agreement.
Payment Schedule: Payments are due as outlined in the Service Agreement.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of this agreement. This includes business strategies, financial information, and any other sensitive data.
6. Intellectual Property
Client's Materials: The Client retains ownership of all materials provided to the Agency.
Agency's Deliverables: Upon full payment, the Client will own the rights to the final approved deliverables. The Agency may retain the right to use these materials for promotional purposes unless otherwise agreed.
7. Term and Termination
Term: The agreement commences on the Effective Date and continues until terminated by either party.
Termination: Either party may terminate this agreement with [14] days' written notice. Upon termination, the Client is responsible for payment of all services rendered up to the termination date.
8. Limitation of Liability
The Agency's liability is limited to the amount paid by the Client for services rendered. The Agency is not responsible for indirect, incidental, or consequential damages.
9. Dispute Resolution
Any disputes arising from this agreement will be resolved through [mediation/arbitration] in [jurisdiction]. The laws of [jurisdiction] will govern this agreement.
10. Amendments
This agreement may be amended only in writing and signed by both parties.
